By accessing and using ScaleNodes ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

ScaleNodes is a cloud hosting platform that provides managed databases, application platforms, web app deployment, object storage, and team collaboration tools. We provide these services to help you deploy and scale your applications with ease.

3. User Accounts and Authentication

3.1 Google Sign-In: ScaleNodes uses Google's authentication service for user registration and sign-in. By using our service, you acknowledge that:

• You are providing your consent to share necessary profile information with ScaleNodes for authentication purposes
• ScaleNodes is approved to use Google's authentication services in accordance with Google's terms of service
• Your Google account security is your responsibility

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials. ScaleNodes will not be liable for any loss or damage arising from your failure to protect your account.

4. Acceptable Use

You agree to use our service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the service for any illegal or unauthorized purpose
• Deploy malicious code, malware, or any harmful software
• Engage in activities that violate applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' data
• Use the service to send spam, unsolicited communications, or conduct phishing activities
• Violate the intellectual property rights of others
• Exceed the resource limits assigned to your account or selected service plans

5. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices. By using ScaleNodes, you consent to the collection and use of information in accordance with our Privacy Policy.

6. Service Availability and SLA

While we strive to maintain high availability, we do not guarantee uninterrupted service. We may perform maintenance, updates, or experience downtime that could affect your service. Specific Service Level Agreements (SLAs) may apply to enterprise customers and are outlined in separate agreements.

7. Payment and Billing

7.1 Fee Structure: ScaleNodes offers various plans with different features and resource limits for each service. Fees are charged in advance on a monthly or annual basis.

7.2 Payment Terms: You agree to provide accurate payment information and authorize us to charge the specified fees. All fees are non-refundable unless otherwise specified.

7.3 Changes to Pricing: We reserve the right to modify our pricing with 30 days' notice. Existing usage and invoices will be handled according to the pricing active at the time they were generated.

8. Intellectual Property

8.1 Your Content: You retain ownership of all content you upload, store, or deploy using our service. You grant us a license to use, modify, and distribute your content solely to provide the service to you.

8.2 ScaleNodes Property: The service, including its software, documentation, and trademarks, remains the property of ScaleNodes and is protected by intellectual property laws.

9. Limitation of Liability

To the maximum extent permitted by law, ScaleNodes shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the service, including but not limited to loss of data, revenue, or business opportunities. Our total liability shall not exceed the amount paid by you in the preceding three months.

10. Termination

10.1 Termination by You: You may terminate your account at any time through your account settings or by contacting our support team.

10.2 Termination by ScaleNodes: We reserve the right to suspend or terminate your account if you violate these terms or engage in prohibited activities. We will provide notice when possible, except in cases of immediate security concerns.

10.3 Effect of Termination: Upon termination, your right to use the service ceases immediately. We may delete your data after 30 days unless required by law to retain it.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Nairobi, Kenya.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through our platform. Your continued use of the service after such changes constitutes acceptance of the modified terms.
